UPDATE TO OUR RESTRUCTURE

3 February 2023: At our special general meeting, our membership voted to pass the special resolution to change our structure from incorporated association to company limited by guarantee.

28 April 2023: ASIC transferred our registration to company limited by guarantee.

14 July 2023: MCA's Board of Directors appointed the following directors to these positions:

  • Carla Finch, Managing Director

  • Renee Kay Tennant, Treasurer

  • Sally Cusack, Secretary

  • Joanna Schuurman, Communications Manager

  • Azure Rigney, Advocacy Manager

WE WANT TO SEEK MORE FUNDING

Maternity Choices Australia (MCA) wishes to seek a wider range of funding to so we can reach more women in the antenatal and
postnatal periods. In order to do this we are proposing to move from an incorporated association to a company limited by guarantee (CGL), a more appropriate structure for our needs and future plans.

 

If this proposal is approved at our Special General Meeting on 3 February 2023, the next step will be to seek Deductible Gift Recipient (DGR) status from the Australian Tax Office (via ACNC) allowing us to source income from tax-deductible Donations as well as Grants and Members fees.


MCA has been a registered charity with the Australian Charities and Not-for-profits Commission (ACNC) since 2012. Please be assured that MCA will continue to maintain our charity status with the proposed change of structure. MCA has been operating since 1991 and our aim is to continue operating similarly to how we do now.


We are very grateful for the pro bono support of Baker McKenzie lawyers to guide us through this complex process. 


The Special General Meeting will be held to vote for a special resolution approving the proposed restructure, approving the new name for the CLG, adopting the proposed new Company constitution and authorising committee members of MCA to give effect to the resolutions passed.

On 3 February 2023 we will meet with our membership to vote to pass this special resolution in order to proceed with these changes. For the special resolution to pass, 75% of votes cast (proxy or in-person) must be in favour of the resolution.


In preparation for this meeting, please read the Special Resolution Pack that we are circulating and making available to our membership, and includes a copy of the new Constitution to be adopted.
